1. Company Overview

Nick’s Christmas Lighting, LLC (“Company,” “We,” “Us,” or “Our”) provides residential and commercial holiday lighting design, installation, maintenance, takedown, and storage services throughout South Dakota.

We are a legally registered South Dakota Limited Liability Company, established in 2021 and fully insured under state law. By purchasing, scheduling, or using our services, you (“Client,” “Customer,” or “You”) agree to all terms outlined below.


2. Service Agreement

All services performed by the Company are governed by this Agreement.

By approving a quote, invoice, or making payment, the Client authorizes Nick’s Christmas Lighting, LLC to perform all work described in the provided proposal.

Installation may include the use of ladders, clips, electrical wiring, fasteners, or attachments appropriate for the job.

While all work is completed with professional care, Client acknowledges that minor and normal installation marks (e.g., small nail holes, clip impressions, or surface scuffs) may occur.


3. Payment Terms

A deposit or full payment may be required before installation as detailed in your proposal or invoice.

Payments are non-refundable once installation work begins.

Late payments or chargebacks may result in additional administrative or collection fees.


4. Ownership of Materials

All lights, wiring, timers, clips, and accessories supplied by the Company remain the property of Nick’s Christmas Lighting, LLC unless otherwise agreed in writing.

If Client provides their own materials, the Company assumes no responsibility for product failure, shortages, or compatibility issues.


5. Liability & Indemnification

To the fullest extent permitted by law, the Client agrees to release, defend, indemnify, and hold harmless Nick’s Christmas Lighting, LLC, its owners, employees, subcontractors, and affiliates from any and all claims, losses, damages, or expenses — including attorney’s fees — arising from or related to:

Property damage, fire, or electrical malfunction.

Weather events, accidents, or injury on or around the property.

Fraudulent misrepresentation by third parties or client negligence.

Acts of God, vandalism, or causes beyond the Company’s control.

The Company shall not be held liable for any incidental, indirect, consequential, or punitive damages arising from the installation, maintenance, or removal of lighting systems.


6. Limitation of Liability

In no event shall Nick’s Christmas Lighting, LLC’s total liability under this Agreement exceed the total amount paid by the Client for services rendered. This limitation applies regardless of cause or legal theory, including negligence, breach of contract, or warranty.


7. Client Responsibility

Client agrees to:

Provide safe and reasonable access to the property, including driveways, walkways, and roofs.

Ensure that all exterior electrical outlets and circuits are functional, safe, and accessible.

Keep pets and children away from the installation area during work.

Notify the Company of any pre-existing roof, gutter, or electrical issues prior to installation.

Avoid tampering with or altering lighting components after installation.

The Company is not responsible for delays or damages caused by unsafe or inaccessible conditions at the property.


8. Weather & Scheduling

Installations may be delayed due to snow, rain, or extreme cold.

For safety reasons, we reserve the right to reschedule installations or takedowns as necessary.

Takedown services occur after the holiday season and are weather-dependent.


9. Warranty & Maintenance

All commercial-grade lights supplied by the Company carry a limited seasonal warranty for normal operation.

Warranty excludes damage from wind, hail, snow, ice, animals, tampering, or third-party interference.

The Company will repair or replace any lighting failure resulting from improper installation at no additional cost.


10. Damage Disclaimer

Nick’s Christmas Lighting, LLC is not responsible for:

Pre-existing damage to roofs, gutters, shingles, or siding.

Structural, electrical, or water damage caused by existing defects or overloaded circuits.

Damage caused by weather, accidents, or third parties after installation.


11. Photography & Marketing Use

Client grants Nick’s Christmas Lighting, LLC permission to photograph or video the completed lighting display for use in marketing, advertising, or social media.
No personal information or identifying address will be shared without prior consent.


12. Force Majeure

The Company shall not be held liable for any delay or failure to perform due to events beyond its control, including but not limited to severe weather, natural disasters, power outages, accidents, labor shortages, pandemics, or other “Acts of God.”


13. Cancellations & Refunds

Cancellations made less than 3 days before installation may result in forfeiture of any deposit paid.

Once materials are purchased or installation begins, refunds are not available.


14. Binding Arbitration

Any dispute, controversy, or claim arising from or relating to this Agreement shall be resolved exclusively by binding arbitration in Codington County, South Dakota, in accordance with the rules of the American Arbitration Association (AAA).
The decision of the arbitrator shall be final and binding on both parties.


15. Governing Law

This Agreement is governed by the laws of the State of South Dakota, without regard to conflict of law principles.


16. Entire Agreement

This document constitutes the full and final Agreement between the Client and Nick’s Christmas Lighting, LLC. No verbal or implied agreements shall alter or override the terms herein.


17. Acknowledgment

By scheduling, purchasing, or using our services, you acknowledge that you have read, understood, and agreed to these Terms & Conditions in full.
